Special Situations
We partner with investors to acquire distressed franchise retail stores. We re-launch them after resolving operational and financial situations that prevented them from providing adequate positive cash flow.
We can help identify and meet with owners of distressed stores to evaluate their options and their personal situation. We then prepare an appropriate exit strategy and prepare a SWOT analysis to help determine the potential for a positive outcome over a reasonable period of time.
The acquisition of these distressed assets could be an add-on investment to an existing network of stores owned by investors or a platform investment intended to be the beginning of a project to add more stores.
Aspects of distressed asset and special situation projects include:
'
-
Site visit to review existing facility.
-
Interview with management or ownership.
-
Review financial records including accounting systems and bank records.
-
Review outstanding debt obligations.
-
Review and understanding of landlord and lease situation. Our legal and accounting partners we can provide a preliminary opinion of legal and accounting aspects of the lease as well as any other applicable matters.
-
Market review including location and competitor evaluation.
-
Review situations with franchisors.
-
Prepare post-acquisition operating plan.
-
Preparation of letter of intent to acquire, acquisition financing, and asset purchase agreements.
-
Execution of operating plan including implementing franchisor brand compliance into the operations, recruiting staff, and negotiating with vendors and landlord.
